1. ELIGIBILITY: "Endless Summer Giveaway" Sweepstakes ("Sweepstakes") is only open to legal residents of the United States (excluding residents of the state of Rhode Island), who are at least 18 years of age or older at time of entry. VOID WHERE PROHIBITED OR RESTRICTED BY LAW AND IN RHODE ISLAND. Employees of Value Place Franchise Services, LLC (“Value Place” or “Sponsor”) and its parent companies, affiliates, subsidiaries, participating vendors, promotion or advertising agencies, or any other company involved with the design, production, execution or distribution of the Sweepstakes (all of the above, together with Sponsor, collectively referred to as "Promotion Entities"), and the employee's immediate family members (parent, child, sibling, and spouse), regardless of where they live, and the employee's Household Members, are ineligible to enter. "Household Members" shall mean people who share the same residence at least 3 months a year (whether related or not). All federal, state, and local laws and regulations apply.

2. NO PURCHASE NECESSARY TO ENTER OR WIN. TO ENTER: Sweepstakes begins at 12:01 a.m. Eastern Time (“ET”) July 1, 2008 and ends at 11:59 p.m. ET September 30, 2008 (the “Promotion Period”). To enter, visit www.ValuePlace.com (the “Web site”) and follow the link to www.ValuePlace.com/endlesssummer. Your entry indicates your agreement to these Official Rules. You may submit multiple entries if you enter directly each time, but Sponsor reserves the right to void automated entries, entries submitted by a third party or service, and spam or other abusive entries in Sponsor’s sole discretion. Sponsor is not responsible for late, lost, misdirected or scrambled entries. Incomplete entries will not be accepted. All valid entries must include your first and last name, daytime telephone number, a valid e-mail address, and any other required information. Your testimonial about Value Place is encouraged, but not required, and submission of a testimonial does not increase chances of winning. By submitting a testimonial through the Web site, you give Sponsor irrevocable permission to use your testimonial, as may be edited by Sponsor in its sole discretion, your first name and last initial, or initials only, and your city of residence in all media for all purposes in perpetuity without further compensation. Winners will be randomly selected from all eligible entries received by 11:59 p.m. ET on the day before each drawing. The names of the winners will be posted at the Web site once the winner has been verified and confirmed.

3. SELECTION OF WINNER: Three random drawings will be conducted, each on a different date. The first drawing (“First Drawing”) will be held on or about August 1, 2008 and will be from all eligible entries received by July 31 at 11:59 p.m. ET. Four (4) winners will be selected in the first drawing. The second drawing (“Second Drawing”) will be held on or about September 2, 2008 and will be from all eligible entries received by August 31 at 11:59 p.m. ET. Three (3) winners will be selected in the Second Drawing. The third drawing (“Third Drawing”) will be held on or about October 1, 2008 and will be from all eligible entries received by September 30 at 11:59 p.m. ET. One (1) winner will be selected in the Third Drawing. All drawings will be conducted by Sponsor or its designated independent judging organization from all eligible entries received during the Promotion Period. Odds of winning any prize depend on the total number of eligible entries received. By participating, entrants agree that the decisions of Sponsor will be final and binding in all matters relating to this Sweepstakes and release Value Place and all Promotion Entities from all liability concerning the Sweepstakes. All entries become property of Sponsor and will not be returned. In the event of a dispute as to the identity of an entrant, an on-line entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent, provided that such account holder meets the eligibility requirements for the Sweepstakes. The authorized account holder shall be the natural person to whom the applicable e-mail address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved to Sponsor's satisfaction, the entry will be deemed ineligible.

4. PRIZES: Four (4) Second Prizes, each consisting of $250 cash in U.S. dollars or (at Sponsor’s discretion) a Visa gift card will be awarded to each of the four (4) winners of the First Drawing. Three (3) First Prizes consisting of $500 cash in U.S. dollars or (at Sponsor’s discretion) a Visa gift card will be awarded to each of the three (3) winners of the Second Drawing. One (1) Grand Prize consisting of $2,500 cash in U.S. dollars or (at Sponsor’s discretion) a Visa gift card will be awarded to the one (1) winner of the Third Drawing. All prizes of VISA gift cards are subject to the terms and conditions stated at www.visa.com. Total Approximate Retail Value of the prizes is $5,000. Winner must supply Sponsor with his/her social security number for tax purposes. All federal, state and local taxes and duties are the sole responsibility of the winners. Prizes may not be redeemed for cash, transferred or substituted, except that Sponsor may substitute prizes of equal or greater value. In the event a winner is unable or fails to accept the prize for any reason, an alternate will be randomly selected following the procedures outlined above. All prizes will be awarded.

5. NOTIFICATION OF WINNERS: Winners will be notified by electronic mail (e-mail) sent to the e-mail address submitted with the entry within 15 days of each drawing. Winners may be required to sign and return an Affidavit of Eligibility and, where lawful, a Publicity Release, within 15 days of notification, or winner’s prize may be forfeited and an alternate winner selected in the manner described above. By entering or accepting any prize, entrants release and hold harmless each of the Promotion Entities and their officers, directors, employees, agents, and representatives from any and all claims, demands, losses, and liabilities arising out of this Sweepstakes or use or misuse of the prize awarded hereunder. Sponsor assumes no liability or responsibility for damages, losses or injury resulting from this Sweepstakes or the acceptance or use of any prize. All entrants further agree that in the event of any third party claims, damages, losses or injuries or death arising from or relating to this Sweepstakes, and the winner’s use of any prize, they will indemnify each of the Promotion Entities and their officers, directors, employees, agents, and representatives from any and all such claims, including the attorneys’ fees related thereto. By accepting a prize and by executing the publicity release, winners agree, where lawful, that Sponsor may use winners’ names, likeness, biographical information, voice, winning entry and statements attributed to winners, for publication, advertising and promotional purposes without additional consideration.

6. ADMINISTRATION OF SWEEPSTAKES: Sponsor reserves the right in its sole discretion to cancel or modify this Sweepstakes. Each entrant is responsible for all on-line charges incurred with any Internet service provider and/or wireless carrier. Sponsor is not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures or any telephone network, computer equipment, software, inability to access any website or on-line service, or any other error or malfunction, or late, lost, incomplete, illegible or misdirected entries. If Sponsor determines, in its sole discretion, that there is any suspected or actual tampering with the Sweepstakes or if technical difficulties compromise the integrity of the Sweepstakes, Sponsor reserves the right to void the entries at issue and/or terminate or modify the Sweepstakes and/or conduct a random drawing to award the prize using all eligible entries received as of the termination date. If the Sweepstakes is terminated due to tampering or technical difficulties prior to its expiration date, notice will be posted at www.ValuePlace.com. Any attempt to deliberately damage the content or operation of this Sweepstakes is unlawful and subject to legal action. NOTE: Entries must be made only by the individual entrant at the authorized mailing or website addresses as specified in these Official Rules (or as otherwise directed on Web site). Entries made by any other individual or entity and/or originating at any other Internet website or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and as such ruled ineligible for this Sweepstakes.

7. LIST OF WINNERS/ OFFICIAL RULES: These Official Rules are posted at the Web site. For a copy of these Official Rules or a list of the winners, send a self addressed stamped envelope with your request to: Value Place Brand Communication, 8621 E. 21st St. North, Wichita, KS 67206. Specify whether you would like a copy of these Official Rules or the winner’s list. The list of winners also will be posted at the Web site when the winners have been verified and confirmed.

8. GENERAL INFORMATION: Any claims arising out of the Sweepstakes shall be governed solely by the laws of the state of Kansas and may be brought only in a federal or state court in Kansas, and entrants consent to the personal jurisdiction of such courts. Any and all lawsuits or other disputes that arise relating to this Sweepstakes must be filed within one (1) year from the date that the winner is drawn. The failure of Sponsor to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. If any part of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Official Rules will remain fully in force.
